Anti-Bribery and Corruption Policy
  1. These terms and conditions shall be governed by and construed in accordance with the laws of Malaysia. BHSB is committed to a policy of zero tolerance towards bribery and corruption as defined in the Malaysian Anti-Corruption Commission Act 2009 (Act No. 694) and Amendment 2018 (Act A 1567).
  2. All Directors, employees and business associates are required to comply with this Policy, the Anti-Bribery Management System (ABMS) manual and related policies and procedures.
  3. This policy extends to all business associates and third parties dealing with BHSB.
  4. All Directors, employees, business associates and third parties are expected to report any case of suspected corruption or bribery to BHSB's Integrity Unit as per BHSB's Whistleblowing Policy.
  5. Any breach of this policy shall be subjected to the appropriate consequence management.
Whistleblower Policy
  1. Ensuring that complainants can channel complaints and/or information through internal complaints systematically before it is decided whether to be investigated internally or taken to the responsible agency.
  2. Ensure protection for those who make reports from retaliation after they have, in good faith or based on reasonable belief, raised or reported concerns about actual or suspected bribery or corruption.
  3. Enables staff to receive advice from the appropriate person on what to do if faced with a concern or situation that could involve bribery / corruption.
  4. Any complaints or reports related to integrity offences and corruption can be submitted through:
    1. Notify HR Department or the Integrity Unit
    2. Via email: hr@brookeholding.com
    3. Send a written complaint or report to HR Department
Vendor Registration Requirements
  1. Vendors must be legally registered entities with the relevant regulatory authorities, such as the Companies Commission of Malaysia (SSM).
  2. Vendors must hold valid licenses and permits for the services or products they provide.
  3. For the Oil and Gas sector, vendors must be registered with Petronas via the Standardised Work and Equipment Categories (SWEC) system.
  4. For Civil Engineering services, vendors must be registered with both the Ministry of Finance (MOF) and the Construction Industry Development Board (CIDB).
Financial Stability
  1. Vendors are required to maintain a paid-up capital of not less than RM100,000.00 in the form of "Ordinary Shares."
  2. Financial statements should reflect stability and positive growth, with annual reports showing positive figures for at least the past two years.
  3. Brooke Holding reserves the right to request financial documents for verification at any stage of the registration process.
Technical Capability & Experience
  1. Vendors must demonstrate technical capabilities, competency, and facilities to effectively deliver the products and services offered.
  2. Proven track records and experience in past projects, along with relevant references, must be provided upon request.
Compliance with Legal and Regulatory Requirements
  1. Vendors must comply with all applicable local and international laws, regulations, and standards relevant to the industry.
  2. Vendors are required to register with relevant government agencies, statutory bodies, or other organizations as necessary.
Bumiputera Status (If Applicable)
  1. Vendors seeking Bumiputera status must meet the qualifications in terms of shareholder equity, company directors, management, and staff as outlined by the Malaysian government's Bumiputera requirements.
Quality Standards
  1. All goods and services provided to Brooke Holding must meet the highest quality standards. Any defective or non-compliant products/services will be subject to return, replacement, or cancellation of the order, at the vendor's expense.
Confidentiality
  1. Vendors shall maintain strict confidentiality of all Brooke Holding's proprietary information, business plans, data, and trade secrets.
  2. No confidential information shall be disclosed to any third party without the prior written consent of Brooke Holding.
Code of Conduct
  1. Vendors are expected to conduct their business with integrity, professionalism, and in a manner that reflects positively on Brooke Holding.
  2. All vendors must adhere to Brooke Holding's code of ethics, including fair treatment, transparency, and avoidance of any form of corruption or bribery.
Termination and Suspension
  1. Brooke Holding reserves the right to terminate or suspend the vendor's registration at any time if the vendor fails to comply with these terms and conditions or engages in unethical business practices.
  2. Vendors may also be subject to suspension or removal from the vendor list if they fail to maintain their eligibility, financial stability, or quality standards.
Insurance and Indemnity
  1. Vendors must maintain adequate insurance coverage for their operations, employees, and any liabilities arising from their products or services.
  2. Vendors agree to indemnify and hold Brooke Holding harmless from any claims, damages, or liabilities arising from the vendor's actions, omissions, or negligence.
Conflict of Interest
  1. Vendors must disclose any potential conflicts of interest that may arise during their business relationship with Brooke Holding.
  2. Vendors must refrain from engaging in any activities that could result in unfair competitive advantages or compromise Brooke Holding's interests.
Documentation and Audit
  1. Vendors must provide accurate and up-to-date information during the registration process, including business registration documents, licenses, certifications, and financial statements.
  2. Brooke Holding reserves the right to conduct periodic audits of the vendor's operations, facilities, or financial status.
Changes to Terms and Conditions
  1. Brooke Holding reserves the right to amend, modify, or update these terms and conditions at any time without prior notice.
Governing Law and Jurisdiction
  1. These terms and conditions shall be governed by and construed in accordance with the laws of Malaysia. Any disputes arising from this agreement shall be resolved in the courts of Malaysia.
